Details of incentives

Sales agents (facilitating promoting at retailer):

  • Facilitate sales at a retailer or our online store and receive 12% commission

Leads (new retailers/resellers start selling product):

  • Commission for new retailers: Sliding scale based on units sold in first 3 months, or first 40 units (whichever comes first). 10% on first 10 units, 12% for next 5 units, 15% on next 5 units, and 20% on up to 20 units. Sales volumes are calculated separately for each CIPC-registered entity (i.e., a company with multiple outlets will be reckoned as one entity).

  • Commission for new resellers: R32 per purchase of a Starter Pack by a new reseller and 5% of their stock purchases for the first 3 months.

Reseller agents (holding stock and selling directly to customers):

  • Reseller purchases stock at a discount and keeps the balance of the retail price.

  • Starter Pack for new resellers

    • A selection of our product offering valued between R680 and R850 (ex VAT) – retail price R800 to R1000

    • Reseller earns 30% commission (R200–R250)

    • Branded t-shirts are available to order (at cost to company)

  • Basic commission: 30% for stock value less than R3600 (sell less than 20 big tubs / 72 small tubs a month).

  • Advanced commission: 35% for stock value between R3600 and R5400 (20–30 big tubs / 72–108 small tubs).

  • Expert commission: 40% for stock value of R5400 (more than 30 big tubs/109 small tubs).

  • Commission is calculated per invoice, on the ex-VAT price.

Detailed explanation of the reseller commission

Basic Level: If your stock value is less than R3,600 (excluding VAT), you qualify for the Basic commission structure. You’ll pay R2,519 for your stock, and you’ll sell it at R3,599. This means you earn a 30% commission, putting R1,080 in your pocket.

Advanced Level: For stock values between R3,600 and R5,400, you move up to the Advanced tier, earning a higher 35% commission. You’ll pay R3,510 for your stock and sell it at R5,400, allowing you to take home a solid R1,890 in earnings.

Expert Level: If your stock value exceeds R5,400, you unlock the Expert level, where you enjoy the highest 40% commission. Your cost for stock is R3,241, and your selling price is R5,401 or more. This gives you the biggest earning potential of R2,160 or more.

Terms and conditions

1.     Contract: The reseller application form (Application) and these terms and conditions establish the entire Agreement between Smart Biotech and the reseller identified in the Application (Reseller), provided there is no other formal written agreement, signed by both parties, governing the purchase or distribution of SmartHerbals products (Products). Submitting the Application constitutes the acceptance of the Agreement by the Reseller. Delivery of Products to the Reseller constitutes the acceptance of the Agreement by Smart Biotech. If Smart Biotech rejects the Application, the applicant will be informed in writing and the Agreement will be considered void.

2.     Responsibilities of the Reseller: The Reseller shall ensure that they know the health conditions that the Products can assist with and properly advise recipients of the Products about proper usage. The Reseller shall store the Products in the conditions prescribed on the package label. The Reseller agrees to use their best efforts to market, promote, and sell the Products. The Reseller shall comply with all applicable laws and regulations in South Africa. The Reseller agrees to represent Smart Biotech with professionalism and integrity. Any deceptive or unethical practices are strictly prohibited. The Reseller shall not make any false or misleading claims about the Products.

3.     Responsibilities of Smart Biotech: Smart Biotech shall ensure that the Reseller is provided with training that covers the health conditions that the Products can assist with and proper usage of the Products. Smart Biotech shall ensure that Products are in a saleable condition before shipping to the Reseller.

4.     Price: The maximum retail price for Products will be listed in the invoice sent from Smart Biotech to the Reseller. The Reseller may sell Products at a discount or distribute them as free samples, but may not sell Products for more than the maximum retail price.

5.     Orders and Payment: The Application constitutes an Order of the SmartHerbals Starter Pack. All subsequent Orders shall be submitted to Smart Biotech via the SmartHerbals website Reseller Order Form. Smart Biotech will dispatch Product within 4 working days after receiving payment. If no payment is received within 5 working days of the Invoice, Smart Biotech will consider the Order cancelled unless informed otherwise in writing. All payments must reflect in the Smart Biotech bank account before Products are dispatched.

6.     Adverse Events Reports: The Reseller will report in writing any adverse events to Smart Biotech without delay and, where possible, provide the contact details of the affected person so that the event may be investigated by Smart Biotech. An adverse event, as defined by the South African Health Products Regulatory Authority (SAHPRA), is an unintended and sometimes harmful occurrence associated with the use of the Products.

7.     Communication: The Reseller consents to inclusion on the SmartHerbals Reseller Hub WhatsApp group (or similar platform). From time to time, Smart Biotech will inquire about their experiences as Reseller or request that they obtain testimonials from customers to aid in the marketing of the Products.

8.     Marketing material: The Reseller is free to repost SmartHerbals marketing material as-is on any channel. Any marketing material produced or altered by the Reseller must first be approved in writing by Smart Biotech before release. The Reseller may request free marketing material (e.g., brochures) to be included in their Order. Provision of free marketing material is subject to availability, and may be limited in accordance with operational requirements.

9.     Compensation: The Reseller receives commission from the sale of the Products and recruitment of new distributors (retail or independent resellers). The currently applicable commissions can be found on https://www.smartherbals.co.za/reseller-info-sheet. The Reseller shall be responsible for accounting to the appropriate authorities for their income tax, VAT, or any other moneys required to be paid in terms of legislation, or any other law.

10.  Confidential information: The Reseller acknowledges that during the term of this Agreement, it may have access to confidential information of Smart Biotech. The Reseller agrees to keep such information confidential and not disclose it to third parties.

11. Termination and Survival: This Agreement remains in force for as long as the Reseller holds Products intended for sale or other distribution. Sections 6, 8, and 10 shall survive the expiration of the Agreement.
